Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of Code Overlord, including the website at codeoverlord.dev, the desktop application, and the mobile application (collectively, the "Service"), provided by Xcribe Limited ("we", "us", "our"), a company registered in England and Wales (company number 14860348).
By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Code Overlord is a desktop and mobile application for orchestrating AI coding agents, managing integrations, and controlling development environments. The Service includes features such as agent session management, workspace collaboration, notepad synchronisation, and integration with third-party AI providers.
3. Accounts
You may need to create an account to access certain features. You are responsible for maintaining the security of your account credentials. You must provide accurate information and keep it up to date.
We reserve the right to suspend or terminate accounts that violate these Terms or are used for abusive purposes.
4. Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal or internal business purposes.
You may not:
- Reverse engineer, decompile, or disassemble the software.
- Copy, modify, or distribute the software.
- Sublicence, sell, or resell access to the Service.
- Use the Service to build a competing product.
- Remove or alter any proprietary notices or labels.
5. Third-party services
Code Overlord integrates with third-party AI providers (such as Anthropic, OpenAI, and Google). Your use of these services is subject to their respective terms and pricing. We are not responsible for the availability, accuracy, or conduct of third-party services.
You are responsible for providing your own API keys or subscriptions where required.
6. Your content
You retain ownership of any code, files, or content you create or process using the Service. We do not claim any intellectual property rights over your content.
You are responsible for ensuring you have the right to use any content you process through the Service.
7. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Infringe on the intellectual property rights of others.
- Transmit malware, viruses, or harmful code.
- Attempt to gain unauthorised access to our systems.
- Abuse, harass, or harm other users.
- Generate content that is illegal, harmful, or violates third-party terms.
8. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
9. Limitation of liability
To the maximum extent permitted by law, Xcribe Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Continued use of the Service after changes constitutes acceptance.
11. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
